Terms and Conditions of Service

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and UrbanTechSolutions, LLC, a Massachusetts limited liability company ("Company," "we," "us," or "our"), governing your use of the My-Aide AI Agentic solution (the "Service"). By registering for or using My-Aide, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Communication Consent (SMS, MMS, WhatsApp, Email)

By using My-Aide, you provide your express written consent to receive automated communications from us through various channels:

• Messaging: You agree to send and receive SMS, MMS, and data messages via WhatsApp, Telegram, or your device’s native text messaging platform. These include morning/evening briefings, task alerts, and service updates.
• Email: You agree to receive administrative and promotional emails from the my-aide.ai domain.
• Costs: Standard message and data rates from your carrier apply. UrbanTechSolutions, LLC is not responsible for any costs incurred by your communication provider.

3. AI Data Processing & Third-Party Models

The Service functions as an "Agentic Layer" that utilizes third-party Large Language Models (LLMs), including but not limited to Google Gemini.

• Model Enhancement: You knowingly agree that My-Aide may use collected information, including feedback and "Memory Bank" data, to refine and enhance its AI models to better serve the end user.
• Third-Party Transmission: Information collected will be passed through public LLMs to meet your goals. You acknowledge that UrbanTechSolutions, LLC and My-Aide.ai are not responsible for any data loss or data breaches occurring within the infrastructure of these third-party models.

4. Disclaimer of AI Mistakes

You understand and agree that:

• The technology may make mistakes, provide inaccurate information, or misinterpret the urgency of professional or personal tasks.
• The user is responsible for verifying the accuracy of any briefings or schedules.
• No Liability for Outcomes: You cannot hold us liable for any negative outcomes (missed meetings, scheduling conflicts, etc.) resulting from a mistake made by the AI or the underlying technology.

5. Cloud Infrastructure & Service Availability

The Service is hosted on third-party cloud platforms. You acknowledge that UrbanTechSolutions, LLC is not responsible or liable for any breach, loss of services, or data corruption resulting from the failure or compromise of these cloud providers.

6. Indemnification

You agree to indemnify, defend, and hold harmless UrbanTechSolutions, LLC, its officers, directors, and employees from and against any claims, damages, losses, or liabilities (including attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights (such as privacy or intellectual property rights).

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall UrbanTechSolutions, LLC be liable for any indirect, incidental, special, or consequential damages. Our total aggregate liability shall not exceed the amount you paid to the Company in the six (6) months preceding the claim.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts. Any legal action arising under these Terms will be brought exclusively in the courts located in Massachusetts.

9. Privacy Policy Acknowledgment

By agreeing to these Terms, you certify that you have read and understood our Privacy Policy. You knowingly agree to the collection and use of your professional and personal information as described therein to facilitate the AI's agentic functions.
